Terms of Service

These terms govern your use of Stable Solution's platform and managed facilities service. By using the Services you agree to them.
These Terms of Service (“Terms”) are a contract between Stable Solution LLC (“Stable”) and the organization that subscribes to or uses the Services (“Customer,” “you”). If you use the Services on behalf of an organization, you represent that you have authority to bind it.
The Services
Stable provides (a) software — a client portal and internal operations platform for submitting, approving, tracking, verifying, and billing facilities work; and (b) a managed service that routes each request to a vetted vendor, coordinates scheduling and communication, requires photo- and code-verified completion, consolidates charges onto one monthly invoice, and maintains a tamper-evident audit record.
Accounts
You must provide accurate information, keep credentials secure, and are responsible for activity under your accounts. You must be authorized to add the sites, contacts, and users you register.
Your responsibilities
- Submit accurate work requests and approve (or decline) them in a timely way — these are the two steps the Services are built around.
- Provide safe, lawful site access and accurate contact and location information.
- Ensure your users comply with these Terms and applicable law.
Vendors & coordination
Stable coordinates independent third-party vendors. Except where expressly stated, vendors are not employees or agents of Stable, and Stable is not the guarantor of a vendor's work. Our role is to vet, dispatch, coordinate, require verified completion, and stand behind the process — including the photo- and code-verification and audit record that distinguish the Services.
Quotes, NTE & fees
- Work priced above an approved not-to-exceed (NTE) ceiling requires an approved quote before it is dispatched.
- Approved quotes, dispatched work, and completed jobs are consolidated onto a monthly statement.
- Fees are due per your order or statement terms. You may dispute a line item on a statement; undisputed amounts remain due.
- Unless stated otherwise, fees are exclusive of taxes, which are your responsibility.
Payments
Where electronic payment is enabled, it is processed by our payment processor subject to their terms. You authorize charges for amounts due. Late amounts may accrue interest to the extent permitted by law.
Acceptable use
You may not misuse the Services, including by attempting to breach security, access another organization's data, disrupt the Services, reverse engineer them except as permitted by law, or use them unlawfully.
Intellectual property
Stable retains all rights in the Services and its software. You retain rights in the content you submit and grant Stable a license to use it to provide and improve the Services. Feedback you provide may be used without restriction.
Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Services and use it only to perform under these Terms.
Disclaimers
Except as expressly stated, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Stable's aggregate liability arising out of or relating to the Services will not exceed the fees you paid to Stable for the Services in the twelve months before the event giving rise to the claim.
Indemnification
You will defend and indemnify Stable against third-party claims arising from your content, your use of the Services in violation of these Terms, or your violation of law.
Term & termination
These Terms apply while you use the Services. Either party may terminate for material breach not cured within 30 days of notice. On termination, your right to use the Services ends; you may request an export of your data for a limited period, subject to our DPA.
Governing law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws rules. The state and federal courts located in Maricopa County, Arizona have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
Changes
We may update these Terms; we'll update the date above and, for material changes, provide notice. Continued use after changes take effect constitutes acceptance.
